The
Companies Code 1963 (Act 179) requires companies to
maintain and make available to the public certain registers
such as registers of members. We are able to compile,
maintain, update such registers and ensure overall compliance
with these requirements.

| Meetings
|
Our
duties here would include convening Board of Directors
Meetings and Annual General Meetings (AGMs) and Extraordinary
General Meetings (EGMs) and associated services; preparing
resolutions; preparing accurate minutes of these meeting
and circulating them in a timely manner. This service
will also include preparation of follow-up compliance
documentation to give effect to resolutions.

Return Preparation and filing |
Limited
Liability Companies must file annual returns with the
Registrar of Companies showing its audited balance sheet
and profit-and-loss statement after 18 months of incorporation.
We will compile Annual Returns and ensure that these
are filed with the Registrar of Companies.

in Company Registration Particulars: |
We
will prepare and lay all alterations to Company Registration
particulars in the form prescribed by the Registrar
of Companies including change of Company Name; Registered
Office Address; alteration of Objects; change of Director
or Secretary.

in Share Classifications, Share Issues, Share transfers
and Capital Reorganisations |
We
will also provide assistance in implementing changes
in the structure of the company's share and loan capital
such as, the allotment of shares, increase or reduction
in share capital, transfer and issue of new shares,
including preparation of minutes, drafting resolutions,
preparing share transfer forms, pre-emption rights,
dealing with transfers and other matters affecting shareholders;
preparation of share certificates and advice on stamp
duty payments and updating the register of members.
